Terms of Service

These terms explain the rules for using Synkra, including accounts, subscriptions, connected tools, acceptable use, and ownership of your content.

Agreement

These Terms of Service govern your access to and use of Synkra, a shared memory layer for AI tools. By creating an account, connecting a tool, or using Synkra, you agree to these terms.

If you use Synkra on behalf of a company or organization, you represent that you have authority to accept these terms for that organization.

Accounts

You are responsible for maintaining the security of your account, authentication methods, connected tools, API keys, and devices. You must provide accurate account information and promptly update it when it changes.

You are responsible for all activity under your account unless the activity results from Synkra's failure to use reasonable security measures.

Your content

You retain ownership of content you submit to Synkra, including projects, memories, summaries, decisions, preferences, facts, and connected-tool data.

You grant Synkra a limited license to host, process, transmit, display, and use your content as needed to provide, secure, support, and improve the service.

You are responsible for ensuring you have the rights and permissions needed to submit content to Synkra and connect third-party tools.

Acceptable use

You may not use Synkra to violate laws, infringe intellectual property rights, upload malicious code, attempt unauthorized access, disrupt the service, abuse rate limits, scrape the service, or submit content that is illegal, harmful, or deceptive.

You may not use Synkra to build or operate systems that require guaranteed emergency, medical, legal, financial, or safety-critical outcomes without independent professional review and appropriate safeguards.

Subscriptions and billing

Some Synkra features may require a paid subscription. Prices, plan limits, and included features may change over time, but active customers will receive notice when required.

Payments are processed by a third-party payment provider. Subscription fees are billed according to the plan selected. Except where required by law, fees are non-refundable once a billing period begins.

Third-party services

Synkra integrates with third-party tools and services. Those services are governed by their own terms and privacy policies, and Synkra is not responsible for third-party products outside our control.

If a connected service changes, becomes unavailable, or revokes access, related Synkra features may stop working until the connection is restored or replaced.

Availability and changes

We work to keep Synkra reliable, but the service may be unavailable due to maintenance, incidents, provider outages, or changes. We may modify, suspend, or discontinue features as the product evolves.

Synkra is provided without warranties to the maximum extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Synkra and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.

To the maximum extent permitted by law, Synkra's total liability for claims related to the service is limited to the amount you paid to Synkra in the three months before the claim.

Termination

You may stop using Synkra at any time. We may suspend or terminate access if you violate these terms, create security or legal risk, or use the service in a way that harms Synkra, users, or third parties.

After termination, provisions that by their nature should survive will continue to apply, including ownership, payment obligations, disclaimers, limitations of liability, and dispute-related terms.

Changes to these terms

We may update these terms as Synkra changes. If changes are material, we will provide notice when required. Continued use of Synkra after the effective date means you accept the updated terms.
